These ShulMaker Terms of Service (“Terms”) are an agreement between Cuanto Labs LLC, a Florida limited liability company that operates ShulMaker (“ShulMaker,” “we,” “our,” or “us”), and the synagogue, congregation or other organization that signs up for ShulMaker (“Customer,” “you”). They govern shulmaker.com, the ShulMaker platform, including the admin dashboard, the websites we host for customers, the ShulMaker iOS app, the AI assistant, the WhatsApp assistant and the MCP connector (together, the “Service”).
By starting a trial, subscribing or using the Service, you agree to these Terms. The person who accepts them confirms that they have authority to bind the Customer. If you do not agree, do not use the Service.
Visiting a congregation’s website? These Terms are between ShulMaker and our Customers. If you are a member or visitor of a congregation’s website, that congregation’s own terms and privacy notice, published at its /terms and /policies pages, apply to your use of its site.
1. Accounts and Authorized Users
- Your account. You must give us accurate information when you sign up and keep it current. You choose who in your organization gets an account and what role it has (administrator, editor or reader), and you are responsible for everything done through your accounts.
- Security. Keep passwords, API keys and connected apps secure, and tell us promptly at hello@shulmaker.com if you suspect unauthorized access. Users must be at least 18 years old, except reader accounts that a Customer creates for its own members under its own supervision.
- Our access. Our staff may access your account to provide support, keep the Service secure and operate it, and only as needed for those purposes.
2. Plans, Trials and Subscriptions
- Plans. Our plans and their features and limits are described on our pricing page. Some features, such as the AI assistant, the WhatsApp assistant and the MCP connector, require a particular plan and are subject to daily usage limits. An Enterprise order form, if you sign one, controls over these Terms where they differ.
- Free trial. New Customers can try the Service free for 14 days without a payment card. If you have not added a payment method when the trial ends, the subscription ends and paid features stop working. We never charge you for a trial.
- Automatic renewal. Paid subscriptions renew automatically at the end of each monthly or annual billing period, and we charge the payment method on file in advance for each new period, until you cancel. The price, billing period and renewal date are shown before you subscribe and in your billing portal.
- How to cancel. You can cancel at any time in the billing portal in your admin, or by emailing hello@shulmaker.com. No call is required. Cancellation takes effect at the end of the current billing period, and your site keeps working until then.
- Refunds. Fees are non-refundable, and we do not prorate partial periods, except where the law requires otherwise or where we end your subscription without cause, in which case we refund prepaid fees for the unused part of the period.
- Failed payments. If a payment fails, we will notify you and retry. While an account is past due, we may restrict paid features until payment is made.
- Other payment methods. If we agree to bill you by invoice, check or bank transfer, payment is due by the date on the invoice, and your plan stays active through the period you have paid for.
- Price changes. We will give you at least 30 days’ notice by email before a price increase. It takes effect at your next renewal, so you can cancel before it applies.
- Taxes. Prices do not include taxes. You are responsible for any applicable taxes other than taxes on our income. If your organization is tax-exempt, send us your exemption certificate.
3. Your Content and Your Responsibility for It
- Your content. “Customer Content” means everything you or your users put into the Service, including pages, posts, calendars, notices, media, forms, form submissions, subscriber and member lists, appointment requests, and messages and files given to the assistants. You own your Customer Content.
- License to us. You grant us a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit and display Customer Content only as needed to provide, secure and support the Service, including publishing the pages you choose to make public.
- You are responsible for your content. You are responsible for the accuracy and legality of your Customer Content and for having the rights and consents it requires, including permission to publish photos, names and other information about members, guests and especially children, and permission to use music, images and texts that belong to others.
- No pre-screening. We do not review Customer Content before it is published. We may remove or disable content, or suspend an account, if we reasonably believe it violates these Terms or the law, and we will tell you when we do unless the law or an urgent safety concern prevents it.
- Copyright complaints. If you believe content on a site we host infringes your copyright, send a notice containing the information required by 17 U.S.C. § 512(c)(3) to office@cuantolabs.com. We respond to valid notices and, in appropriate circumstances, terminate the accounts of repeat infringers.
4. Acceptable Use
You agree not to use the Service to:
- send email or messages to people who have not agreed to receive them, or send bulk email without a working unsubscribe link and your organization’s postal address;
- publish content that is unlawful, defamatory, harassing, hateful or that infringes anyone’s rights;
- collect sensitive information through forms, such as Social Security numbers, payment card numbers or health information, unless we have agreed in writing;
- upload malware, probe or test the Service’s security, or interfere with its operation or other Customers’ sites;
- reverse engineer the Service, exceed or get around usage limits, or access it by automated means other than our documented APIs and the MCP connector; or
- resell the Service or let anyone outside your organization use your account, unless we agree in writing.
5. Congregant Data: We Process It on Your Behalf
Your Customer Content will often include personal information about your members, donors, guests and website visitors (“Congregant Data”). For Congregant Data, you are the controller (or “business”) and ShulMaker is your processor (or “service provider”). This section is our data processing commitment to you.
- Instructions. We process Congregant Data only to provide the Service in accordance with these Terms, your settings and your other documented instructions. We do not sell it, share it for advertising, use it to market to your members, or combine it with data from other sources except as needed to provide the Service.
- Confidentiality and security. Our personnel and contractors who can access Congregant Data are bound by confidentiality obligations. We protect it with appropriate technical and organizational measures, including encryption in transit, access controls and separation of each Customer’s data.
- Sub-processors. You authorize us to use the sub-processors listed in our Privacy Policy, which we keep up to date. We impose data protection obligations on each of them and remain responsible for their performance. We will note new sub-processors there before they begin processing Congregant Data, and you may object for reasonable data protection reasons.
- Requests from individuals. If a member or visitor asks us to access, correct or delete their information, we will refer them to you and help you respond. Your administrators can also edit and delete this information directly in the admin.
- Security incidents. We will notify you without undue delay, and within 72 hours where feasible, after confirming a security incident that affects your Congregant Data, and we will give you the information you reasonably need to meet your own obligations.
- Return and deletion. You can export your content during your subscription and ask us for a copy for 30 days after it ends. We delete Customer Content within 90 days after you ask us to, except for copies in routine backups, which expire on their regular schedule, and records the law requires us to keep.
- Your responsibilities. You are responsible for having a lawful basis to collect Congregant Data, for publishing a privacy notice on your site (we provide a starting draft at /policies, which you should review and adapt), for obtaining consent before sending newsletters or adding people’s phone numbers to the WhatsApp assistant, and for responding to your members’ requests.
- Data processing agreement. If you need a signed data processing agreement, including standard contractual clauses for European data, email office@cuantolabs.com.
6. Donations and Payments to Your Organization
- We do not process donations. ShulMaker does not collect, hold or process donations, dues, ticket sales or other payments to your organization, and we are not the merchant of record, a payment facilitator or a fundraiser for them. Donation pages and buttons on your site link to or embed the payment provider you choose, such as Zeffy or your own processor.
- Your provider’s terms apply. Payments go from your donors to you through that provider, under your agreement with it. You are responsible for donation receipts and tax acknowledgments, refunds, chargebacks, and any charitable solicitation registration or other fundraising rules that apply to you.
- Referral fees. ShulMaker is a Zeffy partner and may receive a referral fee from Zeffy when you sign up through our links. This never changes what you or your donors pay.
- Your subscription. ShulMaker uses Stripe only to charge you for your ShulMaker subscription. You enter your card details directly with Stripe, and we never see or store your full card number.
7. AI Assistant, WhatsApp Assistant and MCP Connector
- How the AI features work. The in-admin assistant and the WhatsApp assistant send the messages, files and relevant site content in each conversation to the AI models we use, through our AI gateway, to generate answers and proposed changes. AI output can be inaccurate or incomplete. Proposed changes are applied only when an authorized user confirms them, and you are responsible for reviewing what you confirm.
- No training on your content. We do not use Customer Content to train AI models, and we do not authorize our AI providers to do so.
- The WhatsApp assistant. The assistant answers from the ShulMaker WhatsApp number in groups we activate at your request and in direct messages from phone numbers you approve. It only acts on messages that mention or quote it. Anyone in an active group can ask questions, and they are answered from your published content only. Only approved numbers with editing rights can publish changes, by confirming a preview.
- Your responsibilities for WhatsApp. Before adding the assistant to a group, you are responsible for making sure the group’s administrators agree and that members know messages they send to the assistant are processed by ShulMaker and our AI providers. WhatsApp is a service of WhatsApp LLC (Meta). ShulMaker is not affiliated with or endorsed by it, its terms apply to your use of WhatsApp, and the assistant may stop working if WhatsApp changes or restricts access. The assistant is not monitored in real time and must not be used for emergencies.
- API keys and connected apps. API keys and apps you connect through the MCP connector or our sign-in flow act with the permissions of the user who created them. You are responsible for what they do, for keeping keys secret and for revoking access you no longer need.
8. Shabbat Times, Zmanim and Calendar Information
The Service calculates candle-lighting, havdalah, zmanim, holiday dates and similar times automatically from the location you configure and widely used astronomical and calendar methods. Calculated times can differ from your community’s custom or from local conditions, and they depend on the accuracy of your settings. Please verify them, publish your rabbi’s guidance where it differs, and do not rely on the Service as a source of halachic rulings. We are not responsible for decisions made in reliance on calculated times.
9. Third-Party Services
The Service works with services we do not control, such as your domain registrar, Zeffy and other payment providers, Google Analytics if you add it, WhatsApp, video and map embeds, and the AI clients you connect. Your use of them is governed by their terms, and we are not responsible for their availability, changes or practices. If you connect a custom domain, you are responsible for keeping it registered and its DNS settings correct.
10. Our Intellectual Property
- The Service is ours. We and our licensors own the Service, including its software, designs, templates, blocks and documentation. Subject to these Terms and payment of applicable fees, we grant you a non-exclusive, non-transferable right to use the Service for your organization during your subscription.
- Templates. You may use our templates and designs for your site while you subscribe. They remain ours, and you may not copy them into another platform.
- Customer listing. We may name your organization as a ShulMaker customer and link to your public site. Tell us at any time if you would rather we did not, and we will stop.
- Feedback. If you send us ideas or suggestions, we may use them without obligation to you.
11. Confidentiality
Each of us will protect the other’s non-public information that is marked confidential or would reasonably be understood to be confidential, use it only for the purposes of these Terms, and share it only with people who need it and are bound to protect it. This does not apply to information that is public, already known to the recipient, independently developed or lawfully received from someone else. A party may disclose information when the law requires, after giving notice where allowed.
12. Availability, Support and Changes
- Availability. We work to keep the Service available and secure, but we do not guarantee it will be uninterrupted or error-free, and we do not offer a service level commitment unless an Enterprise order form says so. We may perform maintenance, ideally at quiet times, and never deliberately during Shabbat or Yom Tov where we can avoid it.
- Support. Support is available by email at hello@shulmaker.com.
- Changes to the Service. We improve the Service continually and may add, change or remove features. We will not materially reduce the core functionality of a paid plan during a billing period you have already paid for without notice and, if the change harms you, a prorated refund on request.
- Backups. We keep routine backups for our own recovery purposes, but you should keep your own copies of important content.
13. Suspension and Termination
- By you. You may cancel at any time as described in Section 2.
- By us. We may suspend or end your access if payment is overdue, if you materially breach these Terms and do not cure the breach within 10 days after notice, or immediately if your use poses a security risk, harms others or is unlawful. Where reasonable, we will give notice first and suspend only the affected part of the Service.
- What happens at the end. When your subscription ends, your public site and admin access are switched off. You may request a copy of your content for 30 days afterwards, and Section 5 governs deletion. Sections 3, 5, 6, 10, 11, and 14 through 18, and any other terms that by their nature should survive, survive termination.
14. Warranties and Disclaimers
We will provide the Service in a professional manner and substantially as described in our documentation. If it does not, tell us and we will work to fix it, and if we cannot within a reasonable time, you may cancel and receive a refund of prepaid fees for the unused part of the period. EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” AND WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTY THAT AI OUTPUT, CALCULATED TIMES OR THIRD-PARTY SERVICES WILL BE ACCURATE OR AVAILABLE.
15. Limitation of Liability
- No indirect damages. TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DONATIONS, REVENUE, DATA OR GOODWILL, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE.
- Cap. TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF THE FEES YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND $100.
- Exceptions. These limits do not apply to your payment obligations, to either party’s indemnity obligations, to liability for gross negligence, willful misconduct or fraud, or to liability that the law does not allow to be limited.
16. Indemnification
- By you. You will defend and indemnify us against third-party claims, and related losses and reasonable attorneys’ fees, arising from your Customer Content, your fundraising and communications with your members, your use of the Service in violation of these Terms or the law, or a dispute between you and your members, donors or users.
- By us. We will defend and indemnify you against third-party claims that the Service, as we provide it, infringes a United States patent, copyright or trademark or misappropriates a trade secret, excluding claims arising from Customer Content, third-party services or your modifications. If such a claim arises, we may modify the Service, obtain the right for you to keep using it, or end your subscription and refund prepaid fees for the unused period.
- Process. The party seeking indemnity must notify the other promptly, let it control the defense and settlement (no settlement may impose obligations on the indemnified party without its consent), and cooperate reasonably at its expense.
17. Governing Law, Venue and Disputes
- Talk first. Before starting a legal proceeding, the party with a concern will describe it in writing to the other, and we will both try in good faith to resolve it within 30 days. Either party may seek urgent injunctive relief at any time.
- Governing law. These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Florida, without regard to its conflict of laws rules.
- Venue. The exclusive venue for any dispute is the state courts located in Broward County, Florida, or the United States District Court for the Southern District of Florida, and each party consents to the personal jurisdiction of those courts.
- Jury waiver. EACH PARTY KNOWINGLY AND VOLUNTARILY WAIVES ANY RIGHT TO A JURY TRIAL IN ANY DISPUTE ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE.
- Individual claims. To the extent permitted by law, claims may be brought only in an individual capacity and not in any class or representative proceeding.
18. General Terms
- Changes to these Terms. We may update these Terms by posting a new version here with a new date. For material changes that affect paying Customers, we will give at least 30 days’ notice by email, and the change takes effect at your next renewal. Continuing to use the Service after a change takes effect means you accept it.
- The iOS app. If you use the ShulMaker iOS app, these Terms are between you and us, not Apple. Apple has no obligation to provide support or maintenance for the app and is not responsible for any claims relating to it, and Apple and its subsidiaries are third-party beneficiaries of these Terms with respect to the app. Your use of the app must also comply with the App Store terms.
- Notices. We send notices to the email address of your account’s administrators. Send notices to us at office@cuantolabs.com, and send legal notices also by mail or courier to the address below.
- Everything else. These Terms, with any order form we both sign, are the entire agreement about the Service. Neither party may assign them without the other’s consent, except to a successor in a merger, acquisition or sale of substantially all of the relevant business. Neither party is liable for delays caused by events beyond its reasonable control, other than payment obligations. If a provision is unenforceable, the rest remains in effect. Failing to enforce a provision is not a waiver. There are no third-party beneficiaries of these Terms except as stated for Apple, and your members and donors are not third-party beneficiaries. We are independent contractors.
